Terms of Use

1.1 Acceptance of Terms

By accessing or using the Agent M platform—including creating an account, purchasing a subscription, building or deploying an agent, or integrating via API or WebSocket—you ("User," "you," "your") agree to these Terms of Use ("Terms"). If you do not agree, do not use the Platform.

Agent M is a product of Skillmix Inc. ("we," "us," "our").

1.2 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a binding agreement. You also affirm that you are not prohibited from using the Platform under applicable laws, including export controls and sanctions.

1.3 The Service

The Agent M Platform allows you to:

• Interact with prebuilt, marketplace agents.
• Create, configure, and deploy custom agents with tools (e.g., data retrieval, code execution, file storage).
• Upload documents and websites to populate retrieval-augmented generation ("RAG") indexes.
• Generate, store, and manage chats, embeddings, and model outputs.
• Use APIs via REST, SSE, and WebSocket endpoints.
• Schedule prompts and automated tasks.

We may add, modify, or remove features at any time.

1.4 Licenses

1.5 Acceptable Use Policy ("AUP")

You agree not to (and will not allow others to):

• Engage in unlawful, abusive, or harmful behavior, including generating or distributing defamatory, deceptive, harassing, or malicious content.
• Process regulated or sensitive data, such as HIPAA, PCI DSS, or ITAR content, without a separate agreement.
• Create agents or automations for surveillance, spam, phishing, disinformation, or autonomous weaponization.
• Compromise or interfere with system integrity, including unauthorized scraping, reverse engineering, or DDoS attacks.
• Abuse resources, including circumventing plan limits, mining crypto, or consuming disproportionate bandwidth.
• Misrepresent affiliation, including modifying or removing proprietary notices or branding.

Violations may result in suspension or termination without notice. We may report unlawful behavior to authorities.

1.6 Subscriptions, Fees & Taxes

Certain features (e.g., agent creation, extended usage) require a paid subscription. Pricing, billing intervals, and renewal terms are disclosed at checkout. All fees are non-refundable unless required by law. You are responsible for any applicable taxes.

1.7 Third-Party Services

Some Platform features rely on third-party services (e.g., for AI processing, storage, or authentication). By enabling such features, you accept their respective terms of use. We are not responsible for third-party service availability or behavior.

1.8 Beta & Experimental Features

Beta and experimental tools (e.g., scheduled prompts, new interfaces) are offered "as is" and may change or be removed at any time. They may generate inaccurate or offensive results.

1.9 Intellectual Property & Feedback

All Platform software, UI, designs, and trademarks are owned by or licensed to Skillmix Inc. You may submit feedback or ideas, which we may use freely without obligation or compensation.

1.10 Termination

You may delete your account at any time. We may suspend or terminate your access (and delete related data or agents) if you violate these Terms or if required by law. Sections 1.4, 1.5, 1.9–1.15 survive termination.

1.11 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF OUTPUT.

1.12 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF: (a) AMOUNTS YOU PAID US IN THE LAST 12 MONTHS OR (b) USD $100.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS.

1.13 Indemnification

You agree to defend and indemnify Skillmix Inc., its affiliates, and personnel against any claim arising out of:

• Your Content or agent behavior
• Your breach of these Terms
• Your violation of any law or third-party rights

1.14 Governing Law & Dispute Resolution

These Terms are governed by the laws of Delaware (excluding conflicts rules). Any disputes will be resolved via binding arbitration under JAMS Rules in San Francisco County, California. You waive the right to participate in class actions.

Notwithstanding the above, either party may seek injunctive relief in court for IP or security violations.

1.15 Changes to Terms

We may update these Terms at any time. Material changes will be announced via email or in-app at least 30 days in advance. Continued use after the effective date constitutes your acceptance.
